Terms and Conditions

Welcome to Growl Digital (“we,” “us,” or “our”). By accessing or using our services, you (“Client,” “you”) agree to these Terms and Conditions. Please read them carefully as they set out the basis of our working relationship.

1. Definitions

  • Client: The individual, company, or entity purchasing services from us.
  • Services: Website development, digital marketing, hosting, maintenance, and related digital services provided by Growl Digital.
  • Deliverables: The final products or outcomes of our services, including but not limited to websites, digital content, and marketing materials.

2. Payment Terms

2.1 Website Development

  • A 50% non-refundable deposit is required before work begins.
  • The remaining 50% must be paid prior for the website to be made live.
  • Ownership and transfer of all website files will occur only after full payment has been received.

2.2 Ongoing Services (e.g., Hosting, SEO, Digital Marketing, Maintenance)

  • All ongoing services operate on a minimum 12-month term, followed by a monthly rolling agreement unless otherwise stated.
  • Payments are due on the 1st of each month unless agreed otherwise.
  • Failure to make payment within 7 days may result in suspension of services. Persistent non-payment (over 30 days) may lead to termination and removal of hosted content.
  • Reactivation may incur an administrative fee.

2.3 Late Payments

  • If a payment is overdue by more than 7 days, services will be paused.
  • If a payment is overdue by 30 days, the website may be taken down, and services will be terminated.
  • Reactivation may incur an additional fee.

2.4 Package Changes & Cancellations

Clients who wish to upgrade, downgrade, or cancel their service package must notify us in writing (via email to info@growldigital.co.uk)

Changes will take effect 30 days after written notice is received.

2.5 Referral Bonuses

Referral bonuses are issued only once the referred client has completed a continuous twelve month contract with us. Any referral bonus that becomes applicable will be applied in the months following the completion of that twelve month period.

3. Ownership & Rights

3.1 Website Ownership

  • The website and related assets remain the property of Growl Digital until full payment is received. Upon full payment, ownership transfers to the Client, excluding any third-party elements (e.g., licensed plugins, stock images, or software).

3.2 Intellectual Property

  • All original materials, graphics, and code produced by Growl Digital are protected by copyright and remain our intellectual property unless otherwise agreed in writing. The Client is granted a non-exclusive, perpetual license to use the Deliverables for their own business purposes after final payment.

3.3 Third-Party Services

  • We may use third-party tools, platforms, and hosting services. Growl Digital is not liable for outages, failures, or changes made by third-party providers beyond our control.

3.4 Post-Completion Amendments

  • Once the website is approved and handed over as complete, any further changes, modifications, or updates requested by the Client will be subject to a service charge at the hourly rate of £350 service charge, unless covered by an ongoing maintenance agreement.

4. Client Responsibilities

  • Clients must provide all required content, imagery, and access promptly to avoid project delays.
  • Clients are responsible for ensuring all provided materials are lawful and do not infringe third-party rights. Growl Digital accepts no responsibility for any content supplied by the Client that breaches copyright or applicable law.
  • Timely feedback and approvals are essential to meet project timelines.

5. Cancellations & Termination

  • 5.1 Website Projects: If the Client cancels after work begins, the deposit is non-refundable. If the project is inactive for 30+ days due to Client non-responsiveness, we may terminate without refund.
  • 5.2 Ongoing Services: Clients may cancel ongoing services any time after the minimum 12-month term by giving 30 days’ written notice. Payments already made are non-refundable.
  • 5.3 Termination by Us: We reserve the right to terminate services for breach of these Terms, non-payment, or illegal activity.

6. Liability & Disclaimers

  • We are not liable for indirect, incidental, or consequential damages (including revenue loss) resulting from downtime, cyberattacks, or third-party failures.
  • We make no guarantees of specific results from marketing or SEO efforts, as these depend on external factors.
  • The Client is responsible for their own website backups and security unless enrolled in a Growl Digital maintenance plan.
  • Force majeure events (e.g., power outages, strikes, natural disasters) will suspend obligations during the affected period.

7. Amendments to Terms

  • We may amend these Terms at any time, and updates will be posted on our website. Continued use of our services constitutes acceptance of any changes. 

8. Governing Law

These Terms are governed by the laws of Great Britain. Any disputes will be handled in local courts.
